How to invest in OpenAI before an IPO
Until OpenAI lists on a public exchange, its shares can only be bought in private transactions. The main routes are:
- Private secondary market. Existing shareholders, such as employees and early investors, sell shares to new buyers, either directly on the company's capitalization table or through a special purpose vehicle (SPV). Limited partners of single-stock special purpose vehicles (SPVs) also sell their exposure to pre-IPO stocks in the secondary market. Some private companies require company approval for transfers.
- Pre-IPO funds offered through financial advisors. AG Dillon offers single-company pre-IPO funds to qualified clients through financial advisors, and directly to qualified clients. The minimum investment is $2,500. AG Dillon solicits offers from institutional broker and VC firm counterparties on each trade and completes counterparty due diligence on the best offer. AG Dillon has no relationship with any pre-IPO company.
- Talk to your financial advisor. Your advisor can review whether pre-IPO stock fits your portfolio, verify your qualified-client status and work with AG Dillon on allocation.

Some pre-IPO companies require company approval for purchases (aka transfers). AGD has not been pre-approved by any pre-IPO company to purchase their stock. AGD purchases pre-IPO stocks in the secondary market and may gain exposure by directly purchasing the stock (on the company's capitalization table) and/or through a third party fund (aka special purpose vehicle, or SPV). When AGD purchases through a SPV the SPV general partner is responsible for obtaining the pre-IPO stock company approval, not AGD. OpenAI in our Weekly Pre-IPO Market Insights
Our view on OpenAI
The views below are the opinions of AG Dillon, summarized from our Weekly Pre-IPO Stock Secondary Market Updates, May to September 2026. They are not statements of fact or investment advice.
In our opinion, compute capacity, not model benchmarks, has been OpenAI's most important competitive asset: it has been a leader in raw compute capacity while rivals were constrained, and capacity is what determines whether a model can win and keep enterprise workflows. We see compute cost as the central battleground of the AI era, which is why we read OpenAI's first custom inference chip, Jalapeño, co-developed with Broadcom, as a margin story more than a hardware story. We do not think OpenAI needs the public markets to raise equity, since private capital is available in effectively unlimited size, and we see debt-market access as the more credible catalyst for a listing, illustrated by Nvidia's reported willingness to guarantee $250 billion of financing for an OpenAI data center. We believe OpenAI is an excellent company that is fully valued ahead of its IPO, and that the more asymmetric pre-IPO opportunity is in AI infrastructure.
- Cost and chips: OpenAI lost around $21 billion in 2025, with inference where that cost concentrates, and we expect it to keep integrating downward into its own chips.
- Enterprise: OpenAI formed a dedicated deployment business and is moving toward outcome-based pricing, which we view as part of a pivot by model providers from API distribution toward direct enterprise integration.
- Devices: OpenAI's first hardware product, reported as portable, screenless and voice native, is in our view a step toward ambient capture rather than an iPhone competitor, and we think Apple, Google and Amazon remain better positioned to own the personal data layer.

The next six to twelve months should bring competing assistants from Apple under new leadership, Google, and OpenAI, with additional entrants from the robotics and devices community.
- September 1, 2026Anthropic's Pre-IPO Spending Spree, Outcome Based Pricing, Instinct Hits $2.5B, Plaud's AI Earbuds
The context matters, because Anthropic had the better model and the better product through much of last year, then ran short of compute and ceded share to an OpenAI that had been ridiculed for overbuilding.

The structure exists because OpenAI is still private.

OpenAI's first hardware product, reported as portable, screenless, and voice native, should not be evaluated as an iPhone competitor.
- July 15, 2026Blue Origin raising at $130B valuation + Economic prospects of space mining | Anthropic and OpenAI IPOs | Positron is post-revenue and compelling investment target
On OpenAI and Anthropic, we do not think either company needs the public markets to raise equity, and the persistent IPO chatter is likely mis-framed.
- July 1, 2026OpenAI's New AI Chip | Groq2.0 | The Inference Compute Arms Race
OpenAI's decision to build Jalapeño, its first custom inference chip co-developed with Broadcom on a roughly nine-month design cycle and slated for its own data centers by year end, is the clearest signal yet that compute cost has become the central battleground of the AI era.
- June 24, 2026AI optimization, tokenmaxing, and the future of open-sourced AI large language models
The investment opportunity in AI is not concentrated in OpenAI and Anthropic; it is distributed across three concentric rings of the ecosystem, and most retail investors are looking at the wrong ring.
- May 13, 2026Lambda Labs new financing; What is a Forward Deployed Engineer (FDE)?; Anthropic and OpenAI FDE efforts; AI infrastructure companies for 2H 2026
Harvey's existing partnership with OpenAI rather than a competitive posture against it also signals that the more likely equilibrium is a layered architecture, with foundational model providers and specialist application companies operating in collaboration rather than zero-sum displacement.
- May 6, 2026Access to AI data center compute is as important as AI model quality, SpaceX is a hyperscaler?!, AI compute is the new oil, AI infrastructure for the win
OpenAI continues to be a leader in raw compute capacity at exactly the moment Anthropic is bottlenecked on compute, and capacity is what determines whether a model can win and keep enterprise workflows.
OpenAI pre-IPO FAQ
Is OpenAI a public company?
No. OpenAI is a private company and its shares do not trade on a public stock exchange. OpenAI said on June 8, 2026 that it had confidentially submitted a draft registration statement (Form S-1) to the SEC, and it has not announced an IPO date or price. OpenAI is listed in AG Dillon's weekly pre-IPO valuations report as of October 12, 2026.
How can I buy OpenAI shares before an IPO?
Because OpenAI is private, shares change hands only in private transactions, such as secondary market sales by existing shareholders, often through special purpose vehicles (SPVs). Some private companies require company approval for transfers. AG Dillon offers single-company pre-IPO funds through financial advisors to qualified clients, with a $2,500 minimum. Contact AG Dillon to ask about current OpenAI availability. AG Dillon has no relationship with any pre-IPO company.
What is OpenAI's valuation?
AG Dillon's weekly pre-IPO valuations report lists OpenAI's current implied valuation at $1,400.0 billion as of October 12, 2026, equal to its last primary round valuation of $1,400.0 billion (September 2026). Implied valuation is an estimate based on secondary market prices, not a public market price.
Who can invest in AG Dillon's pre-IPO funds?
AG Dillon funds accept qualified clients only: individuals or entities with a net worth of $2.7 million or more, excluding the value of their primary residence. Funds are offered under Rule 506(c), so qualified-client status is verified before investing. Financial advisors can work with AG Dillon on behalf of their clients.
What are the risks of investing in pre-IPO stocks?
Pre-IPO stocks are speculative and illiquid. A company may never go public or be acquired, may raise money at a lower valuation, or may fail, and you could lose your entire investment. Fund interests cannot be freely transferred, and secondary market prices are not public and may differ from primary round prices.
